AGREEMENT BETWEEN USER AND COME RECOMMENDED, LLC
The Come Recommended Web Site (the “Website”) is comprised of various Web pages operated by Come Recommended, LLC (“Come Recommended”). The Website is offered to you as an employee-candidate (the “candidate”), recommender of a candidate (the “recommender”) or an entity or person who may be a potential employer of a candidate (the “employer”, collectively, the candidate, recommender and the employer shall be referred to as the “user”) of Come Recommended, conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your accessing, viewing, downloading or otherwise use of the Website or by clicking “Join” constitutes your agreement to all such terms, conditions and notices.

MODIFICATION OF THESE TERMS OF USE
Come Recommended reserves the right to change the terms, conditions, and notices under which the Website is offered.

NO UNLAWFUL OR PROHIBITED USE
All users who use this Website are required to follow this policy, as well as all other relevant Come Recommended policies, including, but not limited to prohibitions on harassment and solicitation, and all applicable federal and state laws and regulations. As a condition of your use of the Website, you warrant to Come Recommended that you will not use the Website for any purpose that is unlawful or otherwise prohibited by these terms, conditions, and notices. You may not use the Website in any manner which could damage, disable, overburden, or impair the Website or interfere with any other party’s use and enjoyment of the Website. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available to you through the Website. You may not use this Website if you have been suspended or removed previously from this Website without the approval of the System Administrator.

The Website may only be used only for Come Recommended-related business, in particular, (i) candidates may enter, edit and delete information related to their respective candidate profiles; (ii) candidates may view certain information regarding employers and other information available on the Website; (iii) recommenders may submit data related to an individual candidate profile; (iv) employers may enter, edit and delete information related to their respective employer profiles; (v) employers may view certain information regarding candidates and other information available on the Website; and (vi) users may communicate directly with other users or groups of users (subject to the conditions of this agreement and any Come Recommended policies regarding such communications); and not for other commercial purposes. For example, you may not use the Website to post unauthorized advertisements for products, services, charities, or meetings. You may not post “chain letters” and may not use the Website to run a business. Any use of the Website to facilitate illegal activity, such as gambling, is prohibited. The disruption or misuse of Come Recommended communications, hardware, or software; the harassment of users; and the unauthorized access to communications or facilities are prohibited. For example, activities such as “spamming” (randomly sending e-mail messages to large numbers of recipients) or sending “e-mail bombs” (overloading addresses with e-mail messages) is strictly prohibited. Similarly, use of the Website to develop programs that harass or stalk others is prohibited. Use of the Website to infiltrate a computer system and/or damage the software components of a computer system is prohibited. You may only post information that is legally permissible to copy and distribute, on printed and/or electronic media.

ACCOUNT INFORMATION
You assume all responsibility for your account access information. Your passwords or access codes must not be shared with others. You may only use data, software programs, e-mail, or computer facilities for which you have authorization and solely for an authorized Come Recommended purpose. You may not conceal your identity in any electronic communication. If you suspect that someone may have discovered or guessed your password or access code, you must immediately contact the Systems Administrator to change your code. Other than as contemplated herein, the Website should not be used to communicate confidential information. Do not post confidential information and Come Recommended will not request you to post confidential information. You may not seek information on, obtain copies of, or modify files, other data, or passwords belonging to other users except as authorized. You may not misrepresent other users on the network. You may not circumvent login procedures on any computer system.

LINKS TO THIRD PARTY SITES
The Website may contain links to other websites (“Linked Sites”). The Linked Sites are not under the control of Come Recommended and Come Recommended is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Come Recommended is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Come Recommended of the site or any association with its operators, other than as a provider of benefits to employees of Come Recommended.

MATERIALS PROVIDED TO COME RECOMMENDED OR POSTED AT ANY COME RECOMMENDED WEB SITE
Come Recommended does not claim ownership of the materials you provide to Come Recommended, or post, upload, input or submit to any Website or its associated services (collectively “Submissions”). However, by posting, uploading, inputting, providing or submitting your Submission you are (i) representing that such Submission contains accurate and truthful content; and, (ii) granting Come Recommended, its affiliated companies and necessary sublicensees permission to use your Submission in connection with the operation of the Website and its business, including, without limitation, the rights to copy, distribute, transmit, reproduce, edit, translate and reformat your Submission, and to update records to include your Submission.

Come Recommended is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in Come Recommended’s sole discretion. By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submission.

Come Recommended may need to disclose Submissions when required by law, such as responses to civil court orders, criminal subpoenas or other requests by law enforcement personnel. Come Recommended will decide whether to disclose such information (where Come Recommended has a reasonable belief it is necessary to comply with the court order, subpoena or other law enforcement request) or to exercise Come Recommended’s legal rights to defend against such claims.

Children are not allowed to use this Website and minors (under the age of 18) may not submit any personnel information to us or the Website.

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE WEBSITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. COME RECOMMENDED AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE WEBSITE AT ANY TIME. USE OF COMMUNICATION SERVICES
From time to time, the Website may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with other users or groups of users, collectively, “Communication Services”), and you agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service. By way of example, and not as a limitation, you agree that when using a Communication Service, you will not: defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others, publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, libelous, infringing, obscene, indecent or unlawful topic, name, material or information, upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents, upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another’s computer, conduct or forward surveys, contests, pyramid schemes or chain letters, download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner, falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded, restrict or inhibit any other user from using and enjoying the Communication Services, harvest or otherwise collect information about others, including e-mail addresses, without their consent, or violate any applicable laws or regulations. Come Recommended has no obligation to monitor the Communication Services, however, Come Recommended reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. Come Recommended reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

Always use caution when giving out any personally identifying information about yourself or your family members in any Communication Service. Come Recommended does not control or endorse the content, messages or information found in any Communication Service and, therefore, Come Recommended specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized Come Recommended spokespersons, and their views do not necessarily reflect those of Come Recommended. Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you download the materials.

TERMINATION/ACCESS RESTRICTION
Come Recommended shall maintain Submissions which may consist of personal information in accordance with its policies under applicable law. Notwithstanding the foregoing, the Systems Administrator may examine usage, e-mails, web pages, hard drives, files, and any other facilities in order to diagnose or solve problems or investigate possible violations of Come Recommended policy. The Systems Administrator may examine, edit, and/or remove any material that, in Come Recommended’s judgment, violates Come Recommended policies. By using the Website, you consent to review of your use of the Website. You should not have any expectation of privacy with respect to your use of the website other than as set forth herein. All conferences and bulletin boards may be monitored. Come Recommended reserves the right, in its sole discretion, to terminate your access to the Website and the related services or any portion thereof at any time, without notice.

INDEMNIFICATION
You indemnify and hold us harmless from any damages, losses and costs (including, but not limited to, reasonable attorneys’ fees) related to third party claims, charges, or investigations cause by (x) your failure to abide by this user agreement; (y) your Submissions to the Website; and (z) any activity to which you engage in or through the Website.

PAYMENT
If you purchase or otherwise subscribe to any services that we offer, you will pay the applicable fee as they become due plus all related taxes and all collections costs, interest and reasonable attorneys fees.

APPLICABLE LAW
To the maximum extent permitted by law, this agreement is governed by the laws of the State of Maryland, U.S.A., exclusive of its conflict of laws provisions, and you hereby consent to the exclusive jurisdiction and venue of the federal and state courts in Baltimore, Maryland, U.S.A. in all disputes arising out of or relating to the use of the Website. Use of the Website is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation, this paragraph. Come Recommended’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Come Recommended’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Website or information provided to or gathered by Come Recommended with respect to such use. Unless otherwise specified herein, this agreement constitutes the entire agreement between you and Come Recommended with respect to the Website and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Come Recommended with respect to the Website. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be drawn up in English.

COPYRIGHT AND TRADEMARK NOTICES
The names of actual companies and products mentioned herein are the trademarks of their respective owners. Any rights not expressly granted herein are reserved.

VIOLATIONS OF POLICY
Users are expected to report any violations of this policy. Users who believe they have been harassed or discriminated against should report such complaints to the System Administrator. Users who violate this policy are subject to disciplinary action, up to and including termination of access to the Website and possible civil or criminal action. Come Recommended reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Come Recommended’s sole discretion.

WE PROTECT YOUR PRIVACY

• We do not rent or sell your personally identifiable information to third parties for marketing purposes.
• We do not share your contact information with another User without your consent.
• Any personally identifiable information that you provide will be secured with industry standard protocols and technology.

We reserve the right to modify this privacy statement at any time, so please review it frequently. If we make material changes to this policy, we will notify you here, by email, or by means of a notice on our home page. By continuing to use the Come Recommended service after notice of changes have been sent to you or published on the Come Recommended website, you are consenting to the changes.

INFORMATION WE COLLECT
Registration
In order to become a User, you must first create an account on our website. To create an account you are required to provide the following contact information, which you recognize and expressly acknowledge is personal information allowing others, including Come Recommended, to identify you: name, email address, country, ZIP/postal code, a brief summary of your professional background, and a password chosen by you.

Profile Information
Once you become a User, you may provide additional information in the Profile section describing your skills, professional experiences, and networking objectives. Providing additional information beyond what is required at registration to become a User is entirely optional, but enables you to better identify yourself and find new opportunities in the Come Recommended system to build and leverage your professional network. Any information you provide at registration or in the Profile section that is not personally identifiable may be used in the same manner and extent to which other information that is not personally identifiable is permitted to be used hereunder, including for the purpose of serving advertisements through the service. If you opt-out you may lose the potential benefit of being a User, including receiving ads that are more targeted to your interests.

Contact Information
In order to invite others to connect with you directly in Come Recommended, you may use the Come Recommended services to invite them if they are a User, or enter their names and email addresses. This information will be used by Come Recommended to send your invitation including a message that you write. The names and email addresses of people that you invite will be used only to send your invitation and reminders.

Customer Service
Come Recommended may collect information through the Come Recommended website or through the Customer Service website in order to, among other things, accurately categorize and respond to a customer’s inquiry and deliver appropriate service levels.

Cookies
Like most websites, Come Recommended uses cookies and web log files to track site usage. A cookie is a tiny data file which resides on your computer which allows Come Recommended to recognize you as a User when you return to the Come Recommended website using the same computer and web browser. If your browser settings do not allow cookies, you will not be able to use the Come Recommended website. Like the information you enter at registration or in your Profile, cookie and log file data is used to customize your experience on our website.

One type of cookie, known as a “persistent” cookie, is set once you’ve logged in to your Come Recommended account. The next time you visit the Come Recommended website, the persistent cookie will allow us to recognize you as an existing User so you will not need to log in before using the service. In order to access or change any of your private information (like a credit card number) or to send a message to another User, however, you must log in securely again with your password even if your computer contains your persistent cookie.

Additionally, if you log out of the Come Recommended website you will need to re-enter your password the next time you visit in order to log in to your account. Another type of cookie, called a “session” cookie, is used to identify a particular visit to the Come Recommended website. Session cookies expire after a short time or when you close your web browser.

We use cookies to improve the quality of our service by storing User preferences and tracking User trends. In the course of serving advertisements or optimizing services to our Users, we may allow authorized third parties to place or recognize a unique cookie on your browser. Any information provided to third parties through such cookies will not be personally identifiable but may provide general segment information, e.g. your industry or geographic location, your occupation, or information about your professional or educational background, for greater customization of your user experience. Most browsers are initially set up to accept cookies, but you can reset your browser to refuse all cookies or to indicate when a cookie is being sent. Unfortunately, if your browser settings do not allow cookies or you opt to refuse all cookies, you may not be able to use the Come Recommended website or services. Come Recommended does not store personally identifiable information in the cookies.

Web Beacons
We allow other companies, called ad networks, to serve advertisements to Users. Ad networks include third party ad servers, ad agencies, ad technology vendors and research firms. Come Recommended may “target” some ads to Users that fit a certain general profile – for example – product managers in Texas. Come Recommended does NOT use personally identifiable information to target ads.

To deliver these ads properly, Come Recommended may include a file, called a web beacon, from these ad networks within pages served by Come Recommended so the networks may provide anonymized, aggregated auditing, research and reporting for advertisers as well as to target ads to you while you visit other websites.

Because your web browser must request these advertisements and web beacons from the ad network’s servers, these companies can view, edit or set their own cookies, just as if you had requested a web page from their site.

These general targets may also be used by ad networks to display targeted ads on other websites as a substitute for random, irrelevant ads. Come Recommended does not provide personally identifiable information to any advertiser or any other third party.

LOGGING OF INFORMATION
Due to the communications standards on the Internet, when you visit the Come Recommended web site we automatically receive the URL of the site from which you came and the site to which you are going when you leave Come Recommended. We also receive the Internet protocol (IP) address of your computer (or the proxy server you use to access the World Wide Web), your computer operating system and type of web browser you are using, email patterns, as well as the name of your ISP. This information is used to analyze overall trends to help us improve the Come Recommended service. The linkage between your IP address and your personally identifiable information is not shared with third-parties without your permission or except when required by law.

CONSENT TO PROCESS INFORMATION
Certain information you provide to Come Recommended may reveal, or allow others to identify, your nationality, ethnic origin, religion or other aspects of your private life, and more generally about you. Please be aware that in providing information to Come Recommended for the purposes of opening your user account, you are expressly and voluntarily accepting the terms and conditions of this Privacy Policy and Come Recommended’s User Agreement. The supplying of all such information by you to Come Recommended, including all information deemed “sensitive” by applicable law, is entirely voluntary on your part. You have the right to withdraw your consent at any time, in accordance with the terms of this Privacy Policy and the User Agreement, but please note that your withdrawal of consent will not be retroactive.

RIGHTS TO ACCESS INFORMATION
You have a right to access, modify, correct and eliminate the data about you which has been collected pursuant to your decision to become a User. If you update any of your information, we may keep a copy of the information which you originally provided to us in our archives for uses documented herein.

USE OF PERSONAL INFORMATION
Come Recommended is an online service dedicated to helping all types of professionals more effectively connect with one another. The personally identifiable information you choose to provide on our website is used to help you describe yourself to other Users. Other information, that does not personally identify you as an individual, is collected by Come Recommended from Users (such as, for example, patterns of utilization) and is exclusively owned by Come Recommended. This information can be utilized by Come Recommended in such manner as Come Recommended, in its sole discretion, deems appropriate.

COMMUNICATIONS
Come Recommended will communicate with you through email and notices posted on the Come Recommended website or through other means available through the service, including text and other forms of messaging. If we send any communications to you via the carrier service with which you have a mobile communications subscription or otherwise have access, you understand you will pay any service fees associated with any such access (including text messaging charges for messages to your mobile device). These include a series of up to five welcome emails which help inform new Users about various features of the service. Please be aware that you will always receive certain emails from Come Recommended related to the proper functioning of your account, such as email notices when another User in your network sends you an opportunity. Come Recommended may send you promotional information unless you have opted out of receiving such information.

Sharing Information with Third Parties
Come Recommended takes the privacy of Users very seriously. We do not sell, rent, or otherwise provide your personally identifiable information to third parties for marketing purposes. We will only share your personally identifiable information with third parties to carry out your instructions or to provide specific services or information. For instance, we use a credit card processing company to bill Users for subscription fees. These third parties do not retain, share, or store any personally identifiable information except to provide these services and they are bound by confidentiality agreements which limit their use of such information.

We may provide aggregated anonymous data about the usage of our services to third parties for such purposes as we deem, in our sole discretion, to be appropriate, including to prospective advertisers on Come Recommended. We may segment our Users by role (i.e. product managers, vice presidents), industry, geographic location, or company.

PROFILE TEAMING
Come Recommended may offer our services in connection with other websites (including updates about the Come Recommended service) or may team with other online services to give you the combined results of both services or additional services and benefits. Platform Applications (as defined in the User Agreement) can be designed by Platform Developers (as defined in the User Agreement) or by a subset of Platform Developers with whom Come Recommended has more closely aligned (“Partners”).

In the case of Partners, we do some vetting and we only work with trusted Partners. For example, SimplyHired.com is a Partner which lets you use its services to find jobs combined with the use of Come Recommended to find referrals to those jobs. Because of Come Recommended’s trust in these Partners, Platform Applications or services designed by a Partner may be automatically granted permission to access account information to provide the combined services.

FORUMS / CHATS / BLOGS
If you post on the Answers section of Come Recommended, or use a bulletin board, import a blog, or participate in a chat room on Come Recommended, you should be aware that any personally identifiable information you choose to provide there can be read, collected, or used by other Users of these forums, as well as Platform Developers and other third parties, and could be used to send you unsolicited messages. Come Recommended is not responsible for the personally identifiable information you choose to submit in these forums.

COMMUNICATIONS TO OTHER USERS
Many emails you initiate through Come Recommended, e.g., an invitation sent to a non-User, will list your email address and name in the header of the message. Emails you initiate may also provide aggregate information about your network (for instance how many people are in your network), but will not list the people to whom you’re directly connected. Other communications that you initiate through the Come Recommended website, like a request for contact, will list your name as the initiator but will not include your personal contact information. Your contact information will only be shared with another User if both of you have indicated that you would like to establish contact with each other.

LEGAL DISCLAIMER
It is possible that we may need to disclose personal information when required by law, such as responses to civil or criminal subpoenas, or other requests by law enforcement personnel. We will disclose such information wherein we have a good-faith belief that it is necessary to comply with a court order, ongoing judicial proceeding, subpoena, or other legal process or request to Come Recommended brought in any country throughout the world, or to exercise our legal rights or defend against legal claims.

DISCLOSURES
We may also disclose your personal and other information you provide, to another third party as part of a reorganization or a sale of the assets of a Come Recommended corporation division or company. Any third party to which we transfer or sell Come Recommended’s assets will have the right to continue to use the personal and other information that you provide to us.

YOUR OBLIGATIONS

As a User, you have certain obligations toward the other Users with whom you will be communicating. Certain of these obligations are imposed by applicable law and regulations, and others have become commonplace in user-friendly communities of like-minded members, such as Come Recommended:

• You must, at all times, respect the terms and conditions of the then-current Privacy Policy and the User Agreement. This includes respecting all intellectual property rights which may belong to third parties (such as photographs).
• You must not download or otherwise disseminate any information which may be deemed to be injurious, violent, offensive, racist or xenophobic or which may otherwise violate the purpose and spirit of Come Recommended and its community of Users.
• You must not provide information to Come Recommended and/or other Users which you believe might be injurious or detrimental to your person, professional or social status.
• Come Recommended has also self-certified its privacy practices as consistent with U.S.-E.U.
